Terms of Service

The terms that govern your use of Promptyx.

These Terms of Service ("Terms") govern your access to and use of the Promptyx website, application, APIs, workspaces, and related services (collectively, the "Service").

Promptyx is operated by Modern Enterprise, based in Barasat, Kolkata, West Bengal, India ("Promptyx", "we", "us", or "our").

By creating an account, accessing, or using the Service, you agree to these Terms. If you use the Service on behalf of a company, organization, or other entity, you represent that you have authority to bind that entity to these Terms.

1. Eligibility

You must be at least 18 years old and legally capable of entering into a binding contract to use the Service.

You may not use the Service if doing so would violate applicable law or the rights of others.

2. The Service

Promptyx is a SaaS product for creating, storing, organizing, versioning, testing, and comparing prompts and related test data.

Current features may include:

  • prompt storage and versioning
  • workspaces
  • sample test files or test data
  • prompt testing through third-party AI model providers

Promptyx is still evolving. We may add, modify, suspend, or remove features at any time. Some features may be in pilot, beta, preview, or limited-release mode.

3. Accounts and Workspaces

You are responsible for:

  • keeping your login credentials secure
  • all activity under your account
  • ensuring your account information remains accurate

Promptyx currently supports individual accounts and workspaces. Promptyx does not currently provide team collaboration features, although such features may be introduced in the future.

If workspace or team features are introduced later, these Terms may be updated to address workspace administration, member access, and admin visibility.

4. Customer Content

"Customer Content" means prompts, prompt versions, sample files, test data, notes, configurations, metadata, and other content you upload, submit, or create through Promptyx.

You retain ownership of your Customer Content.

You grant Promptyx a limited, non-exclusive, worldwide right to host, store, reproduce, process, transmit, and display Customer Content solely as necessary to:

  • provide the Service
  • operate workspaces
  • run prompt tests requested by you
  • maintain security
  • troubleshoot and support the Service
  • enforce our policies and legal obligations

You represent and warrant that:

  • you own or have the necessary rights to use and submit your Customer Content
  • your Customer Content does not violate law or infringe the rights of others

5. Third-Party AI Providers

When you use Promptyx to run or test prompts, Promptyx may send prompts, sample files, test inputs, and related data to third-party AI providers, including:

  • OpenAI
  • Anthropic
  • Google Gemini
  • any future provider we may add

These providers process data to perform the requested prompt execution or model response generation.

Promptyx does not control the output quality, availability, or reliability of third-party AI providers.

6. No Training on Customer Content

Promptyx does not use customer prompts, prompt versions, or uploaded test files/data to train its own general-purpose AI models.

We store and process such content only to provide the Service and related support, security, and product functionality, subject to our Privacy Policy.

7. AI Outputs

Outputs generated through Promptyx may be inaccurate, incomplete, offensive, misleading, or unsuitable for your intended purpose.

You are responsible for reviewing and validating all outputs before relying on them.

Promptyx does not guarantee:

  • output correctness
  • output uniqueness
  • model availability
  • compatibility with any business, legal, regulatory, or technical requirement

8. Acceptable Use and Prohibited Conduct

You may use Promptyx only in a lawful, authorized, and responsible manner.

You may not use Promptyx in a way that:

  • violates any law or regulation
  • infringes the rights of others
  • threatens the security, integrity, or availability of Promptyx
  • abuses third-party AI providers or external systems
  • creates fraud, harm, deception, or unauthorized access

You may not upload, store, test, generate, or transmit content that:

  • is illegal, fraudulent, or deceptive
  • infringes copyright, trademark, trade secret, privacy, or other rights
  • contains malware, ransomware, spyware, or malicious code
  • is used for phishing, credential theft, social engineering, or impersonation
  • promotes violence, terrorism, or unlawful harm
  • sexually exploits or endangers children
  • includes unlawful hate, harassment, threats, or abuse
  • violates export control, sanctions, or restricted-use laws

You may not use Promptyx to:

  • spam or send unauthorized bulk communications
  • automate fraud, scams, fake reviews, or deceptive outreach
  • attempt unauthorized access to accounts, systems, APIs, or networks
  • probe, scan, exploit, or test systems without proper authorization
  • interfere with or disrupt Promptyx, its infrastructure, or other users
  • scrape, copy, or harvest data from Promptyx without permission
  • resell or misuse Promptyx in a way not allowed by these Terms
  • bypass plan limits, usage controls, or billing systems

You may not use Promptyx to create, test, or run prompts intended to:

  • generate malware or exploit code for unlawful use
  • facilitate phishing, account takeover, or evasion of security controls
  • produce unlawful deepfakes, impersonation, or deceptive identity abuse
  • generate harmful instructions for violence or unlawful acts
  • evade safety, moderation, or policy restrictions of model providers
  • misuse third-party APIs in violation of their terms

You are responsible for ensuring that your prompts, test data, and usage comply with the terms of any third-party model providers used through Promptyx, including OpenAI, Anthropic, and Google Gemini where applicable.

9. Sensitive Data

Promptyx does not ask users to paste or upload sensitive personal data into prompts, files, notes, or other general-purpose content fields.

Unless expressly supported by Promptyx, you should not submit:

  • highly sensitive personal data
  • financial account numbers
  • payment card data, except when entered through an authorized payment checkout or billing form provided by our payment processor
  • health data
  • government identification numbers
  • passwords, private keys, or security credentials of other people
  • confidential third-party data without permission

If you choose to submit sensitive or confidential data, you do so at your own risk and only if you have a lawful basis and the right to do so.

For clarity, payment card details entered directly into a secure checkout page or billing form operated by our authorized payment provider are handled under that provider's payment flow and are not treated as general prompt or workspace content.

10. Subscriptions, Top-Ups, and Credits

Promptyx may offer:

  • free trials
  • paid subscriptions
  • top-up balance or credit balance for usage-based features such as prompt testing and LLM API calls

Subscription terms, usage rules, prices, billing cycles, and included features are described on our pricing pages, billing interface, or order screens.

Promptyx may provide promotional credits, including activation credits. Promotional credits:

  • are not cash
  • are not transferable
  • are not refundable
  • may be revoked, limited, or expire

Paid top-up balance or account credit balance expires after 3 months of account inactivity.

For purposes of this rule, inactivity means no meaningful account activity, such as login, prompt execution, top-up use, or other qualifying usage as determined by Promptyx in good faith.

11. Billing and Payment Failure

You authorize Promptyx and its payment providers to charge the amounts due for subscriptions, top-ups, renewals, and applicable taxes.

If payment fails:

  • we may retry the charge
  • we may suspend or cancel active paid status
  • we may provide a short grace period of up to 1 day to complete payment

If payment is not completed, access to paid features may be limited, paused, or canceled.

12. Cancellation and Refunds

You may cancel your subscription at any time. Cancellation stops future renewal unless otherwise stated.

Refunds, if any, are governed by our Billing, Cancellation & Refund Policy.

Unless required by law or expressly stated in that policy:

  • fees are non-refundable
  • promotional credits are non-refundable
  • used credits and consumed top-ups are non-refundable

13. Intellectual Property

The Service, including the Promptyx name, branding, software, website design, documentation, and related materials, is owned by Promptyx or its licensors and is protected by applicable intellectual property laws.

Except for the limited rights expressly granted under these Terms, no rights are granted to you.

14. Third-Party Services

The Service may depend on third-party services such as:

  • AI model providers
  • analytics providers
  • payment processors
  • hosting and infrastructure providers

Your use of third-party integrations or services may also be subject to the terms and privacy policies of those third parties.

Promptyx is not responsible for third-party services.

15. Suspension and Termination

We may suspend, restrict, or terminate your access to the Service if:

  • you violate these Terms or our policies
  • payment is overdue or fails
  • your use creates legal, security, or operational risk
  • we are required to do so by law

You may stop using the Service at any time.

After termination, we may delete or anonymize data in accordance with our retention practices, subject to backup retention and legal obligations.

16. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE."

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROMPTYX DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICE WILL BE ERROR-FREE, UNINTERRUPTED, OR SECURE.

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROMPTYX WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNT PAID BY YOU TO PROMPTYX IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR USD 100 IF YOU HAVE NOT PAID ANY AMOUNT.

18. Indemnity

You agree to indemnify and hold harmless Promptyx, its proprietors, affiliates, personnel, and service providers from claims, liabilities, damages, losses, and expenses arising out of:

  • your Customer Content
  • your use of the Service
  • your violation of these Terms
  • your violation of law or the rights of others

19. Governing Law and Jurisdiction

These Terms are governed by the laws of India.

Subject to applicable law, disputes arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the courts in West Bengal, India.

20. Changes to These Terms

We may update these Terms from time to time. These Terms may be updated periodically, as and when deemed necessary by Promptyx management, without email intimation to users. If we make material changes, we may revise the "Last Updated" date and update the website accordingly.

Your continued use of the Service after updated Terms take effect means you accept the updated Terms.
